 Representative Transaction
Recently, a privately owned US company asked for initial advice on how to sell itself. We worked with them for over two years as they educated themselves about the sale process, retained an investment bank, went through the auction process, organized the diligence materials, negotiated a letter of intent, documented the transaction in a definitive purchase agreement and various ancillary agreements, closed the transaction and negotiated post-closing earn-out disputes.
The bulk of the legal work was M&A, but we also had to address substantial legal issues in the areas of intellectual property, real estate, tax, employee benefits, securities, and government contracting. As is typical for us, for those areas where we are not expert, we retained and managed other counsel, and integrated their advice into the overall transaction and its structure.

Representative Transaction
We have recently advised a financial services company incorporated in Hong Kong with operations in Japan. Management, based in Tokyo, retained us to act as general counsel to the company. The company completed three rounds of equity fundraising, retained Japanese consultants, obtained all necessary regulatory approvals, built its product/service offering, established an office, hired staff, signed agreements with key suppliers, and commenced marketing to consumers. Finally, the company was sold to one of its competitors.
We were involved in each aspect of the growth and development of the company. For issues of Hong Kong law, we worked with our affiliate office. For issues of Japanese law, we retained a boutique law firm with the necessary specialized expertise. |
